There are heavy downsides to this decision by Facepunch:
  • UE4 requires a more powerful PC than Source. Tons of people play GMOD on their laptops but those same laptops aren't likely going to be able to handle UE4 titles.
  • UE4 doesn't natively support Lua so almost all mods and maps that already exist will have to be ported over to C# to work with UE4.
  • Servers may need to have more resources (storage and memory) to accomplish the same server mechanics that we all expect these days.
  • The communities will get even more split on issues regarding GMOD versus S&box which could turn off potential newcomers.
  • Licensing with Epic Games is definitely not going to be like licensing with Valve; I don't know the relationship between Facepunch and Valve as a result of this decision.

There are some upsides to this decision however:
  • UE4 supports more up-to-date APIs such as Vulkan and DirectX 12 than Source.
  • Even though Lua is faster on average than C#, there's more things you can accomplish with C# than with Lua.
  • UE4 makes it easier to port games over towards console players than with Source.
  • UE4 is open source (I've made a thread on this already).

I can think of more negatives than positives with S&box, but I can't say for certain if any of those negatives are warranted until the final product is released.
